1. Agreement to Terms

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESSING THE WEBSITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. IF YOU HAVE NOT MADE ANY PAYMENTS, OUR TOTAL LIABILITY SHALL NOT EXCEED $100.

You agree to defend, indemnify, and hold harmless Professionals Wiki and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Website
  • Your violation of the rights of a third party, including but not limited to intellectual property rights
  • Any content you submit or transmit through the Website (if applicable)

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

9.2 Informal Dispute Resolution

Mandatory Informal Resolution: Before filing any lawsuit or legal proceeding, you agree to first contact us and attempt to resolve any dispute informally.

Process:

  1. Send a detailed written description of the dispute to: pro [at] professionals.wiki
  2. Include your contact information and desired resolution
  3. We will respond within 30 days
  4. Both parties agree to negotiate in good faith for at least 30 days

If informal resolution fails, either party may pursue formal legal action as described below.

9.3 Binding Arbitration (Optional)

If informal resolution fails, either party may choose to resolve the dispute through binding arbitration instead of court litigation. Arbitration is optional but, if chosen by either party, becomes mandatory and binding.

Arbitration Rules:

  • Administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules
  • Conducted in California or online/via telephone (at the option of the party initiating arbitration)
  • Before a single arbitrator
  • Judgment on the award may be entered in any court of competent jurisdiction

Cost Allocation:

  • Each party pays their own attorney fees and costs
  • Arbitration filing fees and arbitrator fees will be split equally unless prohibited by law

Exceptions to Arbitration: Either party may seek relief in small claims court for disputes within that court's jurisdiction. Either party may also seek injunctive or equitable relief in court to prevent infringement of intellectual property rights.

9.4 Class Action Waiver

YOU AND PROFESSIONALS WIKI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

If a court or arbitrator determines that this class action waiver is unenforceable, then the arbitration agreement in Section 9.3 shall be null and void.

9.5 Jurisdiction and Venue

For any disputes resolved in court (whether because arbitration was not chosen or for exceptions noted above), you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in California, United States.

10. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Website will immediately cease. If you wish to terminate your use of the Website, you may simply discontinue accessing the Website.

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

12. Waiver

No waiver by Professionals Wiki of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the sole and entire agreement between you and Professionals Wiki regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

14. Changes to the Website

We reserve the right to withdraw or amend the Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period.
